Terms & Conditions of Sale for KEG SALES 2. Everything sold "AS IS" and "WHERE IS". No warranties are made as to the merchantability of any items or their fitness for any purpose. 3. Buyer hereby agrees to indemnify, defend, & hold harmless Auctioneer and its principals, directors, officers, employees and other agents & sale partners and sale site & loading representatives from and against any and all liabilities, judgments, claims, settlements, losses, damages, penalties, obligations and expenses, including attorney's fees and expenses and other professional fees and expenses, incurred or suffered by such person arising from, by reason of, or in connection with any loss, damage or injury to person or property arising from, by reason of or in connection with the Used Equipment sold hereunder. This indemnification shall survive delivery of the Used Equipment to Buyer and any subsequent sale or other transfer of the Used Equipment to a third party. 4. Loading and Removal: It is the Buyer's responsibility to secure all equipment to meet all applicable government safety standards in re-using items purchased. All Import, Export, Taxes, Packaging, Transportation fees are the Buyer's responsibility. Auctioneer will provide our customary invoice attached to this Terms of Sale. Buyer is responsible for transport costs separately. Buyer is ultimately responsible for all removal and loading of used equipment. Buyer may elect to utilized a fully insured and approved removal agent or Buyer themselves. Additionally, in a reasonable effort to assist the Buyer and at the Sale Site's election -- Buyer may elect to accept the assistance of Site Warehouse personnel to load all the used equipment onto Buyer supplied trucks at no additional cost. Should Buyer elect to utilize the Site Warehouse personnel, rather than a separate removal agent, Buyer waives all liability for damage or losses during loading. Additionally Buyer to supply appropriate trucking/transport at Sale Site in a timely manner and with a mutually acceptable appointment time by both Auctioneer and the Sale Site and with-in the removal timeframe allotted. If Buyer does not provide trucks/transport onsite with-in a timely manner and/or the Buyer subjects the Sale Site to any unreasonable delays, Buyer is subject to paying additional loading, handling, removal and or storage fees to be collected by Auctioneer as a penalty. Buyer must removal all sold equipment within the timeframe as indicated on the sale invoice attached. 4a. Removal of Logos from Used Equipment. Promptly upon removal & receipt of the Used Equipment from Sale Site, Buyer shall remove from the Used Equipment any and all "Logos" which include symbols, designs, figures, trademarks, trade names, service marks, embossments, logos or any other matter owned, developed or created by logo's owner, its parent, subsidiary or affiliated companies. Auctioneer shall have the right to inspect kegs at the Buyer's facility with proper notice for up to 18 months after the Kegs are received by the Buyer. Any Kegs not properly de-branding the buyer upon receipt and prior to re-use will in violation of this agreement be subject to fines & damages by Auctioneer and or from the original owner or original owner of logo and any and all applicable violations under the law ACCEPTABLE REMOVAL OF LOGOS & EMBOSSMENTS ON USED EQUPMENT / BEER KEGS: Acceptable methods for such removal of "Logos" on beer kegs include all the following: Remove stripes from center of keg along with any and all other "Logos" and to knurl out or strike through with welding the embossing on the top and bottom chime. 5. Sales Tax will be added to the purchase of all taxable items. Dealers who purchase for resale must file their resale permit numbers with Auctioneer and a tax exemption may be permitted. If sales tax is not collected at the time of sale and is deemed needed to be paid at a later date, Buyer agrees to pay all required taxes. 6. Buyer does hereby indemnify and hold harmless Auctioneer & Seller from any and all damages, claims or liabilities from injuries to persons or property of any type whatsoever caused during the sale, storage, or handling of sold used equipment purchased. 7. Auctioneer and it's principals shall have no liability to the Buyer due to non-delivery of any sold item, for any reason, other than to return to the Buyer the full monies deposited for such non-delivered items. 8. In the event the Buyer fails to pay the whole of the purchase within the time set forth by Auctioneer and/or fails to comply with any of the conditions or terms of sale, the Seller may retain and/or recover the deposit specified as liquidated damages and, in addition thereto, items that are not paid for can be resold at public or private sale without further notice. Any deficiency resulting from such resale shall be paid to Auctioneer by the defaulting Buyer together with all charges, fees, and expenses incurred by such resale and enforcement of the obligation hereunder. 9. The Bidder becomes solely responsible for all items purchased by such Buyer immediately following his money deposited with Auctioneer. Therefore, he is advised to further guard and insure his items at his own discretion. 10. Items must be removed from the premises within the removal time indicated on the invoice and or announced at the sale, unless express written consent for an extension by Auctioneer or its principals. No item can, on any account, be removed before termination of the sale and prior to full payment. 11. Claims for damage in transit must be made by the Buyer with the Carrier. Auctioneer and it's principals assumes no responsibility for damages while in transit, and as such Buyer will hold the parties harmless. It is recommended that the Buyer inspect equipment for damage upon delivery by Carrier.
